Terms of Service
Terms of Service
Effective date: 15 September 2026
Version: 1.0
These Terms of Service ("Terms") are an agreement between you and Mira IT Solution Nigeria Limited ("Mira", "we", "us" or "our") for your use of the Mira apps, websites, APIs, wallet, payment, bill-payment, ride-payment and related services (the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.
1. Eligibility and account registration
You must be at least 18 years old, have legal capacity to enter a binding agreement, and provide accurate and current information. We may require a valid Nigerian mobile number, OTP verification, a username, identity details, BVN, NIN and other KYC information. Some features may remain restricted until verification is complete. You must not impersonate another person, provide false information, open an account for an unlawful purpose, or let another person use your account as their own.
2. Keeping your account secure
You are responsible for protecting your device, password, OTP, transaction PIN and recovery methods. Never disclose an OTP or PIN to anyone, including a person claiming to represent Mira. Tell us immediately at info@mis.ng if your device, credentials or account may be compromised.
Biometric login uses the security feature on your device. Mira receives confirmation that the device check succeeded, not your raw fingerprint or facial scan. High-risk actions, including wallet transfers and bank withdrawals, may require fresh authentication or a transaction PIN. We may delay, decline, reverse or investigate an instruction where we reasonably suspect fraud, error, duplication, illegality, insufficient funds, a security issue or a breach of these Terms.
3. Wallet and virtual account
Your wallet records funds available for supported transactions. A virtual account may be assigned after successful verification. Transfers into it may be credited after our banking partner confirms receipt and completes required checks. Your available balance excludes funds on hold or reserved for pending transactions. You must not spend funds credited in error; we may correct an erroneous or duplicate credit, subject to law, and keep an appropriate record.
4. Wallet transfers and bank withdrawals
Before confirming, check the recipient's name, phone number, bank, account number, amount, narration and charges. You are responsible for incorrect recipient details you approve, although we may assist with recovery where possible. Recovery is not guaranteed after delivery.
A transaction may remain pending while we or a provider confirms its outcome. A completed transfer is generally final except where law, provider failure, fraud or a permitted correction requires reversal. If a bank withdrawal fails before completion, the debit and eligible reversible charges will ordinarily return after confirmation. Timing can depend on banks and payment networks.
Transaction and daily limits may depend on verification level, risk, service rules and law. Current limits and charges will be shown before confirmation or otherwise made available in the Services. We may change limits for security, compliance or operational reasons.
5. Fees, provider charges and statutory levies
We will show applicable charges before authorisation where reasonably possible. A transaction may include a Mira fee, a provider or bank charge, and a statutory levy, tax or duty required by law. These are recorded separately even when a receipt shows a combined payable amount.
Where applicable, stamp duty or another statutory levy may be posted as a separate wallet transaction after the underlying transfer completes. If collection fails, the unpaid amount may remain due and may be collected from a later wallet credit or by another lawful method, with a corresponding record. We will not reverse an otherwise completed transfer solely because a separately collected levy failed.
6. Bill payments
Bill-payment Services may cover airtime, data, electricity, television and other supported products. You must provide the correct phone number, meter number, customer/account number, package and other fulfilment details. Mira sends these details and the payment reference to Mira Bills and the relevant provider.
A successful payment means the provider reported fulfilment or accepted the instruction; it does not guarantee uninterrupted third-party service. Electricity tokens/PINs, units, provider references and receipt details will be shown or notified where available. Keep token information secure and verify it against the intended meter.
If payment fails before fulfilment, an eligible debit will ordinarily be reversed after confirmation. A pending or disputed payment may require provider investigation. Mira cannot reverse a correctly fulfilled purchase merely because you entered the wrong beneficiary or no longer want it. Provider-specific rules may apply.
7. Ride services and payments
Mira Core supports payment requests and settlement for rides provided through Mira Ride. Mira Ride, drivers and riders remain responsible for trip matching, pickup and destination details, fare calculation, trip performance, conduct, safety obligations and ride-specific support, except for matters directly controlled by Mira Core's payment service.
The fare and trip reference may be shared with Mira Core for authorisation and settlement. When you approve a ride payment, the amount may be reserved and later captured when the ride reaches the required status. Settlement may allocate amounts to the driver, platform commission and designated accounts, and capture is processed only once for the same authorised reference.
Location and limited contact or trip details may be shared between Mira Ride, the rider and driver where necessary. Cancellation charges, fare adjustments and ride refunds are governed by ride terms shown in Mira Ride and the confirmed trip outcome.
8. Notifications and records
We may send in-app, push, SMS or email messages about OTPs, security, transactions, bills, rides, service changes and support. Delivery is not guaranteed, and a delayed or missing notification does not change the authoritative transaction status. Review your wallet and receipt before repeating a payment. Electronic records, provider confirmations, audit logs and transaction identifiers may be used to resolve disputes, subject to law.
9. Prohibited use
You must not use the Services for fraud, money laundering, terrorist financing or another unlawful act; transact with unauthorised funds; evade fees, levies, limits, sanctions, verification or security controls; exploit errors or duplicate credits; harass, endanger or deceive another user; interfere with the Services; or attempt unauthorised access. We may report suspected unlawful activity and preserve or disclose records as required by law.
10. Suspension and service availability
We may restrict, suspend or close an account where reasonably necessary to protect users or the Services, investigate misconduct, comply with law, manage risk or respond to a material breach. Where permitted, we will explain the restriction and how to seek review.
The Services depend on banks, billers, mobile networks, ride systems, cloud services and other providers. Maintenance, outages, connectivity and provider delays may affect availability. We use reasonable care and skill but do not promise uninterrupted operation or a completion time controlled by third parties.
11. Refunds, reversals and disputes
Report an unrecognised or incorrect transaction promptly and provide requested information. Do not repeat a transaction while an earlier attempt is pending. Refunds and reversals depend on status, provider confirmation, network rules and law. A displayed reversal may take additional time to become available. Nothing in these Terms removes rights you cannot lawfully waive under Nigerian consumer-protection law.
12. Our responsibility
We are responsible for losses directly caused by our failure to exercise reasonable care and skill or liabilities that cannot lawfully be excluded. To the extent permitted by law, we are not responsible for indirect loss, incorrect information you supplied, access caused by your failure to protect credentials or devices, lawful restrictions, or failures outside our reasonable control.
We do not exclude responsibility for fraud, wilful misconduct, gross negligence, breach of applicable data-protection obligations or liability the law does not permit us to exclude. Mira is not the provider of a utility, telecommunications product or ride supplied by a third party.
13. Privacy
Our Privacy Policy explains how we process identity, payment, bill, ride, device and location information. Where processing relies on consent, you may withdraw it as described there.
14. Closing your account
You may request account deletion in the Services. First withdraw available funds and allow pending holds, payments, disputes or investigations to finish. A 14-day grace period applies to an eligible request. We may retain transaction, KYC, audit, fraud-prevention and complaint records where required by law or needed for legal claims. Closing does not cancel obligations already due.
15. Changes
We may update the Services or these Terms for legal, security, operational or product reasons. We will give reasonable notice of material changes where required. If you do not agree, stop using the affected Services and request closure. Continued use after an update takes effect constitutes acceptance where permitted by law.
16. Complaints and governing law
Contact info@mis.ng first. Include the transaction reference and relevant details, but never your password, OTP or PIN. Unresolved payment complaints may be escalated to the appropriate Nigerian regulator or consumer-protection authority. Privacy complaints may be made to the Nigeria Data Protection Commission.
These Terms are governed by the laws of the Federal Republic of Nigeria. Courts of competent jurisdiction in Nigeria have jurisdiction, subject to any complaint, mediation or dispute-resolution process required by law.
